The three moments in a PE hold that trigger a CFO change
PE portfolio CFO changes cluster at three specific points in the hold cycle. Recognising which one you are in shapes what the CFO profile should look like.
Post-close reshape (month zero to twelve). The CFO inherited at close is often not the right shape for the hold thesis. Legacy finance functions are usually optimised for the previous owner's reporting cadence, not the PE operating rhythm. A change in the first year is common and, if done cleanly, sets the shape of the function for the rest of the hold.
Mid-hold value creation (year two to year three). The finance function has to scale with the business. If the CFO in seat is holding capacity but not proactively building, this is the moment to change before the exit window opens.
Pre-exit bridging (six to nine months before the process starts). The most consequential window. The CFO who leads the business through diligence needs to be in seat, settled, and trusted before the buyer is in the room. Hiring the exit CFO too late is one of the most common expensive mistakes in the PE-CFO market.
What buyers actually assess about the finance function
In the last three exits we have supported on the CFO side, buyer diligence teams gave direct feedback in the closing week. In each case they named finance-function quality as a specific factor in their bid confidence.
What they meant, in practice, was three things:
- Response time. How fast the finance team turned diligence questions around. Hours versus days.
- CFO fluency. Whether the CFO could walk buyer teams through model assumptions without checking with anyone.
- Second-tier visibility. Whether the layer below the CFO was visibly capable of running the function if the CFO stepped out.
Where all three existed, valuation held into closing. Where they did not, valuation eroded in the final fortnight. Deeper: Why M and A capability now decides valuation.
Retention through the exit process
Losing the CFO in the 90 days before or after close is one of the most preventable value-erosion events in a PE hold. In our experience, the retention structure that works is not a lump-sum bonus at close, which can see the CFO leave shortly afterwards. It is a stay-through structure: 50 percent at close, 50 percent at 180 days post-close conditional on a named handover.
Buyers price the difference. So do CFOs.

How we run PE-portfolio CFO searches
Every PE-portfolio search we run includes:
- Direct conversations with the operating partner alongside the chair, aligned on the hold thesis.
- Structured five-reference process including two former direct reports.
- Chair-run reference call at final stage with the candidate's previous chair.
- Stay-through language written into the offer at signing, not negotiated later.
- Post-hire check-in at day 30, day 90 and day 180.
